TERMS & CONDITIONS


Definitions

"Account" means a unique account created for You to access our Service or parts of our Service.

"Confidential Information" means any information that is shared in writing or verbally by the 'Disclosing Party' to the 'Receiving Party', that is designated to be confidential, or should be understood as confidential based on the circumstances under which it was disclosed or due to the nature of the information. A party's Confidential Information shall not include information that (i) is or becomes a part of the public domain through no act or omission by the Receiving Party; (ii) was known to the Receiving Party prior to the information been shared by the Disclosing Party; (iii) is received by a third party without any breach of obligation by the Receiving Party; (iv) was independently created by the Receiving party.

"Customer" means any private person or business, or anyone who acts in the name of an artificial person or entity, that purchases Services from Narrato or use Services for free.

"Customer Data" means all data, files, including hypertext markup language files, documents, audio and visual information, graphics, scripts, programs, software, servlets or applets that a Customer creates, installs, uploads or transfers in relation to our Service or while using our Service. It does not include Customer Personal Data.

"Customer Personal Data" means any Personal Data processed by Narrato and its sub processors for the Customer in relation to the Service.

"Data Protection Laws" means all applicable laws relating to the processing of Personal Data, including the General Data Protection Regulation.

"Terms and Conditions" (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between the Customer and the Company regarding the use of the Service.

"Intellectual Property Rights" means all Narrato's confidential information, intellectual property and other rights, anywhere in the world, whether registered or unregistered, registrable or unregistrable, including right of application or any application of such rights, including though not limited to, copyright and related rights, database rights, confidential information, know-how, inventions, developments, business names, trade names, trade marks, service marks, patent applications, patents, utility models, rights in designs, disclosures, algorithms, concepts, drawings, diagrams, specifications, designs, techniques, formulas, processes, models, methods, documentation, techniques, software, code, research or other trade secrets.

"Maintenance" means the general maintenance of the Services, and the updates and upgrades to the Services.

"Services" or "Service" means the software and Website provided by Narrato to which You (or a Customer) is being granted access under the General Terms and Conditions on the Website.

"Promotions" mean giveaways, contests or other promotions offered through the Service.

"Subscriptions" refer to the services or access to the Services offered on a subscription basis by the Company to You or the Customer.

"Software As A Service" means the combined software, hosting and support services offered by Narrato.

"Narrato" refers to the software and services offered by Narrato Inc. under the brands 'Narrato Workspace' and “Narrato AI”.

"Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Narrato Inc.

"User(s)" means individuals, businesses, entities, representatives, agents, consultants or contractors who are authorized by You or the Customer to use the Services.

"Website" means the Narrato website with the URL https://narrato.io or any other website designated by Narrato.

"You" means the individual accessing or using the Service, or a company or a legal entity on whose behalf the individual is using or accessing the Service.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and sets forth the obligations and rights of the Users.

Your access to and use of the Services, requires and indicates your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and other entities accessing or using the Service. We reserve the right to terminate your access to the Service in case of breach of these Terms.

By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any of these Terms and Conditions, then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service also requires and indicates your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our procedures and policies on the collection, use and disclosure of Customer Personal Data provided by You when You use the Application or the Website. The Privacy Policy informs You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

  1. These General Terms and Conditions may at all times be consulted on the Narrato Website with the URL https://narrato.io.
  2. By using the Services of Narrato (including signing up for the free basis module), You acknowledge that You have read and understood the Terms and Conditions, and agree to be bound by the Terms and Conditions.
  3. These Terms and Conditions will at all times prevail over the terms and conditions of the Customer. Even if Narrato does not stipulate a strict application of the Terms and Conditions, the Customer will be legally bound to follow them.
  4. Narrato reserves the right to change its Terms and Conditions at any time.
  5. If any provision in these Terms and Conditions is or becomes null and void, it will not affect the validity of other provisions.

Services

  1. Narrato agrees to provide You or a Customer access to Services, subject to these Terms and Conditions.
  2. These Terms and Conditions will also apply to any new features that is added later or augment or enhance the Services, or any new Service purchased by the Customer.
  3. Narrato reserves the right to change the offer and composition of its Services at any time.
  4. The Services described herein, on the Website, or other communication channel Narrato uses, will be available on an "as is" basis. You may at all times, ask Narrato for information in connection to the Services. The Customers hence declares that they have sufficient information on the contents and Scope of the Services.
  5. To use the Services, the Customer should have access to the World Wide Web. The Customer should have the equipment that allows them to maintain a connection to the World Wide Web. If the Customer uses an obsolete browser, he may not be able to access all functions of the Service or these functions may not work optimally.

Duration

The Customer enters an agreement to use the services of Narrato for an indefinite period of time. The extension of the agreement will be contingent upon advance payment by the Customer for the agreed period (month, quarter or year), excpet for the free basis module.

User account/login and password

  1. The user account will be activated the moment Narrato accepts a valid Order by the Customer. The Customer can access Services through their user account and associated login details. Access to the Service means that the Customer can use the Services for a charge. Under no circumstances does it imply a transfer of ownership of Services by Narrato to the Customer.
  2. The Customer can access Services using the location and access codes contained in their user account. The Customer can authorize other Users to access their Account. The exact number of users allowed to access the Account will depend on the number of users of the Customer permitted by Narrato.
  3. A login corresponds to one User only and may not be shared with other persons. The User must have a unique password for each login, which will form a part of his personal information.
  4. Each User shall bear responsibility for protecting their user account, including but not limited to, the username and password. The Customer is expected to avoid transferring this information to a third party. In case of any unauthorised use of the information by a third party, the Customer is expected to penalize the said party and bring the matter to Narrato's attention. The Customer is also expected to avoid disclosing their passwords or those of their users to Narrato (e.g. when seeking Narrato's assistance via the helpdesk).
  5. Customer agrees to inform Narrato of any loss or theft or unauthorised use of Customer's passwords, user logins and/or account number.

Basis module

  1. The basis module is available to use free of charge. To use it, You are required to register online as a User and adhere to the Terms.
  2. A Customer can switch to a paying module at any time.

Prices

  1. Narrato offers both standard and custom or tailor-made modules, within the Services for the Customers.
  2. A basis standard module is available free of charge. The standard modules and their prices (in USD) are listed on the Website. The prices for custom/tailor-made modules and solutions are stated in the particular offer.
  3. Prices appearing on the Website are not permanent, and subject to change depending on market conditions. Narrato reserves the right to increase or decrease its prices.

Availability, Errors and Inaccuracies

We are constantly updating the offerings of our Service. The offerings may sometimes be mispriced, unavailable or described inaccurately. Furthermore, there may be delays in updating the information on the Service and in the advertisements we post on other websites.

We do not guarantee the accuracy or completeness of any information, including prices, services, availability, images and specifications. We have the right to change or update information, and rectify inaccuracies, errors or omissions at any time, without prior notice.

Renewal of Subscription

If you choose monthly Subscription, the minimum subscription term is one month. At the end of the initial term, Your Subscription will automatically renew for successive periods of one month unless you cancel the Subscription before the end of this period (or before the end of the current renewal period).

If you choose quarterly Subscription, the minimum subscription term is three months. At the end of the initial term, Your Subscription will automatically renew for successive periods of three months unless you cancel the Subscription before the end of this period (or before the end of the current renewal period) .

If you choose annual Subscription, the minimum subscription term is one year. At the end of the initial term, Your Subscription will automatically renew for successive periods of one year unless you cancel the Subscription before the end of this period (or before the end of the current renewal period) .

Changing your Subscription Package

You can upgrade (subscribe to a higher paying plan) or downgrade (subscribe to a lower paying plan) your Subscription at any time through your user account or by getting in touch with our customer support team. This includes movements between monthly, quarterly or annual plans. Price changes, if any, will be automatically applied to your Account.

Cancellation

You can stop the Service at any time by cancelling your Subscription through your user account. In this case, your Subscription will expire when your initial subscription term or current renewal period ends. No further fees will be payable but we will not be obliged to refund any fees paid.

‍Refunds

The Subscription fees paid are non-refundable, except when required by law. The Company may consider certain refund requests on a case-by-case basis. Refunds shall be granted at the sole discretion of the Company.

Termination

We, for any reason whatsoever, including without limitation for a breach of these Terms and Conditions, may terminate or suspend Your Account with immediate effect, without prior notice or liability.

We also reserve the right to terminate your use of Service in the event you become insolvent. In such an event, we will not be liable to refund any subscription fees paid.

If Your Account is terminated, you will immediately lose your right to use the Service. If you wish to terminate your Account, you can simply discontinue using it.

Free Trial

The Company may, at its sole discretion, offer a Subscription with a Free Trial for a limited time period.

You may have to provide Your billing information to sign up for the Free Trial.

If You provide Your billing information, You will be charged only after the Free Trial has expired. On the last day of the Free Trial period, unless you have cancelled Your Subscription, you will be automatically charged the applicable Subscription fee based on the type of Subscription (monthly, quarterly or yearly) You have selected.

The Company has the right to cancel the Free Trial offer or modify the terms and conditions of the Free Trial offer at any time and without notice.

Promotions

Promotions offered through the Service may be subject to rules that are separate from these Terms.

Before participating in any Promotions, please go through the rules and our Privacy policy. In case the rules for a Promotion conflict with these Terms, the Promotion rules will hold precedence.

Use of your Account

Once you register on the Website, you and all the users you have authorized to access your Account ("Authorised Users"), will be entitled to use, and permit Authorised Users to use the Services through your Account solely for collecting, managing, organising and collaborating on content for one or more projects. You bear responsibility for your Authorised Users' use of the Service.

Authorised Users' use of the Services will be governed by these Terms. Each Authorised User must maintain a secure password for their use of the Services through your Account. You can only allow the permitted number of Authorised Users to access your Account to use the Services. Any unauthorised use of the Service must be immediately reported to us. You must keep your password and account details secure and ensure that only you and Authorised Users access your Account.

You and your Authorised Users will not store or transmit any computer virus or material during the use of the Services that:

We have the right to disable your access to any materials that breaches this provision, without liability to you.

You bear responsibility for adhering to the laws of the country where you use the Service and to ensure you have the necessary permission and consents in connection to your use of the Service.

At the time of creating an account with Us, you must provide us information that is complete, accurate and current at all times, failing which would constitute breach of the Terms, for which we can effect immediate termination of Your account on Our Service.

You bear responsibility for protecting the password You use to access the Service and any actions or activities related to Your password, regardless of whether Your Password resides with Our Service or a Third-Party Service.

You agree to keep your password confidential and not share it with any third party. If you become aware of a breach of security or unauthorised use of Your Account, you must notify us immediately.

You are not permitted to use as a username the name of another person or an entity that is not lawfully available to use, a name or trademark that confers upon the owner exclusive access to use the name or trademark, or a name that is otherwise offensive, obscene or vulgar.

Ownership of Data

You bear sole responsibility for all the data you enter or upload using the Service ("Your Data") and own any intellectual property rights in Your Data. We do not monitor Your Data, which you post or provide in connection to the Service. We adhere to our Privacy Policy with regards to the use of Your Data.

If any loss or damage to Your Data occurs, your sole and exclusive remedy will be to try and restore the damaged or lost data from the latest back-up offered by the Service. We shall not be liable for any loss, damage or disclosure of Your Data caused by a third party.

Upon the expiry or termination of the Subscription, you can copy or export Your Data from Narrato within 12 months of the expiry or termination date. After the end of this period, your Account may be permanently deleted, including invoice details. You are responsibile for copying and/or exporting Your Data before the end of the Subscription expiry or termination date.

You agree to our appointing third-party processors of personal data for assistance with web hosting under this agreement, and in particular, the use of Amazon Web Services (AWS). You acknowledge that our use of AWS may involve transfer of personal data outside your country, and consent to such transfer.

Availability of Service

We will use commercially reasonable endeavours to make the Services available 24 hours a day, seven days a week, with the exception of planned or unplanned maintenance.

You bear sole responsibility for enabling and maintaining your network connections and telecommunications links from your systems to our data centres. We are not liable for delivery failures, delays and any loss or damage as a result of or in relation to your network connections or telecommunications links or caused by the internet.

Customer's Responsibilities

  1. Customer agrees to adhere to all applicable local, state, national and foreign laws, regulations, conventions and treaties, with respect to their use of the Services, including without limitation Data Privacy Laws, and laws relating to international communications, and the exportation of personal or technical data. Customers will also bear responsibility for ensuring that the use of Services by Customer's Users complies with the provisions of these Terms and Conditions.
  2. Customer shall bear sole responsibility for all Customer Data and for acquiring licenses and permissions required in connection to the Customer Data including without limitation licenses for any third-party software included in the Customer Data.
  3. Narrato, under no circumstances whatsoever, permits the use of its Services for illegal or unlawful purposes, or for the transfer of data that is illegal, offensive, damaging, threatening, defamatory, or infringing on a person's privacy or Intellectual Property Rights. The Customer is responsible for ensuring the same, and guarantees that they will not use the Service to send spam, junk mail, chain mail, phishing or other unsolicited and undesired mass-circulation emails.
  4. In case of non-compliance with the provisions of these Terms, the Customer acknowledges that they are acting entirely at their own risk.

Your Right to Post Content

Our Service permits you to post Content. You bear responsibility for the Content You post to the Service, including its legality, appropriateness and reliability.

You retain all rights to any Content You submit to the Service. You are responsible for protecting those rights.

You represent and affirm that You own the Content, have the right to use it and that the posting of Your Content on or through the Service does not infringe on the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Content Restrictions

The Company shall not bear any responsibility for the content of the Service''s users. You understand and agree that You bear sole responsibility for the Content and for all activity occurring under your account, whether performed by You or another person using Your account.

You are not permitted to transmit any Content that is unlawful, offensive, threatening, libellous, defamatory, obscene, upsetting, or otherwise objectionable. Examples of such objectionable Content include, but are not limited to:

The Company has the right, but not the obligation to, determine at its sole discretion, whether or not any Content is appropriate and in compliance with these Terms, and refuse or remove the unallowed Content. The Company can limit or revoke the use of the Service in relation to the posting of such objectionable content. Furthermore, the Company reserves the right to format or edit any Content in any manner.

You understand that using the Service may expose You to content You find objectionable, offensive, incorrect or indecent. You agree that the Company is not liable for any content or any loss or damage arising from Your use of any content or any content inaccuracies or errors.

Content Backups

While regular Content backups are performed, the Company does not guarantee there will be no corruption or loss of data.

Corrupt or invalid backup points may arise from, without limitation, Content that was corrupted before it was backed up or that changed when the backup was performed.

The Company will extend its support and assistance in troubleshooting any issues on Content backup that it knows or becomes aware of. But it shall not bear liability for the integrity of the Content or the failure to successfully restore Content to a usable state.

You consent to maintaining a complete and accurate copy of any Content in a location independent of the Service.

Maintenance

  1. Narrato shall, where practicable, give the Customer a prior notice of a Maintenance that is likely to affect the availability of the Services.
  2. Narrato shall perform the Maintenance with reasonable skill and care.

Intellectual Property Infringement

We recognize that intellectual property is an important asset, and respect the intellectual property rights of others. We strive to respond proactively to any claims that Content posted on the Services violate the copyright or other intellectual property right of any person.

As a copyright owner or someone acting on behalf of one, if you have reason to believe that the copyrighted work has been infringed upon through the Service, please submit Your notice in writing to our team at support@narrato.io. Please describe the alleged infringement in detail.

If you misrepresent that any Content is infringing Your copyright, you will be liable for any damages that arise, including costs and attorney's fees.

Links to Other Websites

Our Service may contain links to external websites or services that We do not own or control.

The Company does not control or bear responsibility for the content, privacy, policies or practices of any third party websites or services. You agree that the Company shall not be liable for any damage or loss arising or alleged to result from or in connection with the use of or reliance on any such content, goods or services available on or through such websites or services.

Communication by Narrato

The Services consist of communication by Narrato via email in relation to service announcements, administrative emails and newsletters. The Customer will at all times be able to unsubscribe from these newsletters. The Customer cannot hold Narrato liable for any changes of any nature that the Customer would have known while remaining subscribed to Narrato communications but no longer receives after unsubscribing from said communication.

Customer Data

  1. The Customer hereby grants to Narrato a non-exclusive licence to copy, reproduce, store, distribute, publish, export, adapt, edit and translate the Customer Data to the extent reasonably required by Narrato to perform its obligations and exercise its rights under the Agreement. The Customer also grants to Narrato the right to sub-license these rights to its hosting, connectivity and telecommunications service providers.
  2. The Customer warrants to Narrato that the Customer Data will not infringe the Intellectual Property Rights or other legal rights of any person and will not be in contravention of applicable laws, regulations or statutes.

Customer Personal Data

Narrato may only act and process the Customer Personal Data for the benefit of the Customer and on documented instructions from the Customer unless required to do so by the law to which Narrato is subject. In such a case, Narrato shall duly notify the Customer of the information before processing, unless the law prohibits such information on grounds of public interest.

Confidential Information

  1. The parties consent to applying commercially reasonable efforts not to make each other's Confidential Information available in any form to any third party. The Customer acknowledges and agrees that Narrato may disclose Customer's Confidential Information to a third party solely to the extent necessary to provide the Services under the agreement as well as to the extent that such disclosure is necessary to comply with applicable law or valid order of a court or other governmental authority.
  2. Notwithstanding anything to the contrary in the agreement, Customer Data is not included in Confidential Information as defined above. To the extent Narrato has any access to the Customer Data in the course of providing the Services, it shall not, intentionally (i) access Customer Data or (ii) disclose Customer Data to any third party, except to the extent: (a) the Customer makes its Data publicly available, (b) as necessary for Narrato to provide, or obtain third-party supplier support for the Services or to provide information requested by Customer, (c) as specifically authorised by Customer in writing or (d) the disclosure is required to comply with applicable law or respond to requests by a regulatory or judicial body and/or as otherwise required for legal process.

Intellectual Property Rights

  1. Narrato guarantees that it possesses the Intellectual Property Rights required for offering its Services.
  2. Narrato grants the Customer non-exclusive, non-transferable and non-sublicensable rights to use the Services. All copyrights, trademark rights or the rights it has been granted to service description, programs, drafts, texts, designs, drawings, models, photos and services are retained by Narrato.
  3. The Customer shall not copy the Services or use them for other purposes than those for which they are intended without the prior written consent of Narrato.

Limitation of liability

  1. Narrato gives no warranty or representation that the Services will be wholly free from defects, errors and bugs.
  2. The Customer acknowledges that complex software is never entirely free from security vulnerabilities and that subject to the other provisions of this Agreement, Narrato gives no warranty or representation that the Services will be entirely secure.
  3. All statements on the Website in relation to the reliability and the security of the Services are a mere description of Narrato's obligation to perform to the best of its ability.
  4. Under no circumstances will Narrato be obliged to compensate for indirect, special or consequential damage, trading losses, loss of income, loss to reputation or goodwill, loss of or damage to information or data, or any other damage incurred by using the services. This limitation of liability also applies after Narrato has been specifically informed of the potential loss of the Customer.
  5. Furthermore, Narrato shall not be liable for any defects incurred directly or indirectly by an act of the Customer or a third party, irrespective of whether this act is caused by an error or by negligence. Narrato can under no circumstances be held liable for the loss or incorrect use of the Customer Data.
  6. Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.
  7. To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
  8. Some states disallow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

‍"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, the Company does not make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, worms, malware, scripts, trojan horses, timebombs or other harmful components.

Some jurisdictions disallow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer. Accordingly, some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

‍Force majeure/hardship

If, due to force majeure, Narrato is unable to perform its obligations or is unreasonably hampered in the performance of its obligations, it will be entitled to temporarily suspend the performance, wholly or in part, for the duration of this force majeure or altogether, without being required to give advance notice or to pay any compensation. Cases of force majeure traditionally include: seizure, illness, war, blockade, insurrection, strike or lock-out, shortage of vehicles, scarcity of services, restrictions in the energy consumption, either with Narrato or with one of its suppliers. Narrato reserves the right to suspend performance of the agreement wholly or in part for the duration of the hardship.

‍Severability‍

If any provision of these Terms is deemed unenforceable or invalid, such provision will be changed and interpreted to achieve the objectives of such provision to the greatest extent possible under applicable law. The remaining provisions will continue in full force and effect.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws. The failure of either party at any time to require performance by the other party of any provision hereof shall not affect in any way the right to require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to revise or replace these Terms at any time. In case of any material revisions, we will make reasonable efforts to provide at least 30 days' notice before the new terms take effect. We also reserve the right to determine, at Our sole discretion, what constitutes a material change.

By continuing to access or use Our Service after such changes become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, you are advised to stop using the website and the Service.
